1. Introduction
Welcome to EXTFOX. These Terms of Service ("Terms") govern your access to and use of our services, including but not limited to SaaS development, AI systems, Shopify Plus solutions, and related consulting services (collectively, the "Services") provided by IEKSTFOKS DOEL ("we," "us," or "our").
By engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Services Offered
EXTFOX provides technology services including:
- Custom SaaS platform development and architecture
- AI systems including RAG-based solutions and autonomous agents
- Shopify Plus development and optimization
- E-commerce solutions and automation frameworks
- Technical consulting and strategic advisory services
All services are provided on a project basis with specific deliverables, timelines, and pricing as outlined in individual project agreements or statements of work.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and timely information necessary for project execution
- Respond to requests for feedback, approvals, and decisions within agreed timeframes
- Provide access to necessary systems, platforms, and resources as required
- Ensure you have the legal right to use any third-party services, APIs, or platforms integrated into your project
- Comply with all applicable laws and regulations in your jurisdiction
4. Payment Terms
All work is properly quoted and invoiced prior to commencement. Payment terms will be specified in your project agreement or invoice.
Refund Policy: We do not offer refunds for completed work. All services are quoted and invoiced based on agreed specifications and deliverables. Each project is scoped, quoted, and invoiced to reflect the specific work to be performed.
Certain refunds may be considered on an agreeable basis, subject to mutual discussion and written agreement between both parties. Any such agreement must be documented in writing and signed by authorized representatives of both parties.
Late payments may result in suspension of services until payment is received. We reserve the right to charge interest on overdue amounts in accordance with applicable law.
5. Support and Maintenance
Limited Support Period: We offer limited support for two (2) weeks after each product or deliverable is delivered to you. During this period, we will address issues related to the delivered work at no additional cost, provided such issues are:
- Directly related to the delivered work and not caused by external factors
- Reported within the two-week support period
- Not the result of modifications made by you or third parties
After Support Period: After the two-week support period expires, any fixes, modifications, enhancements, or additional work will be quoted separately and charged according to our standard rates.
Ongoing maintenance, updates, or additional features beyond the initial deliverables require separate agreements and are not included in the initial project scope unless explicitly stated.
6. Intellectual Property
Upon full payment of all fees and charges, you will receive ownership rights to the custom work product delivered as part of the Services, as specified in your project agreement.
We retain all rights to:
- Our proprietary methodologies, tools, frameworks, and pre-existing code
- Third-party software, libraries, and services used in your project (subject to their respective licenses)
- Any work product for which payment has not been received in full
You grant us a non-exclusive license to use your project for portfolio, marketing, and case study purposes, unless otherwise agreed in writing.
7. Confidentiality and Non-Disclosure
We understand the importance of confidentiality and are committed to protecting your sensitive information. Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement.
Breach of Confidentiality: If you have concerns regarding potential breaches of confidentiality or non-disclosure agreements, please contact us immediately at support@extfox.com.
We will investigate any such concerns promptly and take appropriate action to address any breaches.
8. Limitation of Liability
To the maximum extent permitted by applicable law, our liability for any claims arising from or related to the Services shall be limited to the total fees paid by you for the specific project giving rise to the claim.
We shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Issues arising from third-party services, platforms, or APIs
- Delays or failures caused by factors beyond our reasonable control
9. Termination
Either party may terminate a project agreement:
- With written notice, subject to the terms of the specific project agreement
- Immediately, in the event of a material breach that is not cured within a reasonable period
- For convenience, with payment for all work completed up to the termination date
Upon termination, you will be invoiced for all work completed and expenses incurred up to the termination date. Ownership of completed work will transfer only upon full payment of all outstanding invoices.
10. International Clients
We serve clients across Europe, America, Canada, and Australia. These Terms are designed to comply with applicable laws in these jurisdictions, including but not limited to:
- General Data Protection Regulation (GDPR) for European clients
- Consumer protection laws in the United States and Canada
- Australian Consumer Law
If any provision of these Terms conflicts with applicable local law, that provision will be modified to the extent necessary to comply with local law, while preserving the intent of the original provision.
11. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, both parties agree to first attempt to resolve the matter through good faith negotiation.
If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the North Macedonia Arbitration Association, or as otherwise agreed by both parties.
These Terms shall be governed by and construed in accordance with the laws of North Macedonia, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email or through our website.
Continued use of our Services after changes become effective constitutes acceptance of the modified Terms. The version of these Terms applicable to your project is the version in effect at the time your project agreement was executed.
